A Durham-based agriculture technology company has raised $2.3 million in a private equity offering, according to a filing Monday with the Securities and Exchange Commission.
Vindara Inc. raised the money from 11 investors, according to the filing.
The company said that other than the payment of salaries and other compensation and benefits, no officer, director, manager or promoter will receive any payments from the proceeds of the offering.
Vindara, which was founded in 2018, is led by John Dombrosky.
Dombrosky is the CEO of Agtech Accelerator, a startup accelerator focused on discovering and developing emerging agricultural technology companies.
Dombrosky has more than 20 years of finance, business development and general management experience. Dombrosky’s ag tech experience includes a variety of executive management, innovation-centric roles at Syngenta, including ag biolicensing, intellectual property litigation valuations, mergers and acquisitions, and profit and loss management.
As head of Americas Professional Products, Dombrosky drove business-to-business marketing tactics, strategy and business development for professional and consumer-facing pest management businesses. Prior to Syngenta, Dombrosky focused on corporate development at Thomson Reuters, creating new value through multiple software/information mergers and acquisitions transactions and integrations.
Dombrosky holds a B.A. in financial management from the University of St. Thomas and an MBA from the University of Notre Dame.
Companies such as Vindara relying on the Rule 506 exemption do not have to register their offering of securities with the SEC, but they must file what’s known as a Form D electronically with the SEC after they first sell their securities.
